Giant steps in. Ikanos, which absorbed Globespan, Virata, Conexant and Centillium, is a crucial part of the history of DSL. In a flat DSL market, they've struggled for several years. Promised products for node scale vectoring and G.fast are not visible in the market although I understand they are far advanced. CPE chip sales have declined as Chinese chipmakers entered the market. A year ago, Dado Banatao's Tallwood VC firm and Alcatel bailed them out in the belief the new chips would find buyers. Time and money have run out and they've accepted the offer. Ikanos has been on the block for a while, with an asking price of $80-100M.

Qualcomm's entry surprised me because they don't offer complementary chips for cable and fiber.  The deal was presumably inspired by Intel's purchase of Lantiq, creating a powerful combined offering of DSL, cable (formerly TI) and wireless (formerly Infineon) chips for home connections. Ikanos also sells Fusiv, a network processor for gateways. 

LTE + DSL gateways are in modest deployment in Germany and could play a surprisingly important future role. LTE with realworld speeds of 50+megabits is deploying widely around the world. Many people believe spectrum limits LTE capacity so much that the telcos can't afford to use LTE bandwidth to supercharge DSL. That's probably true in midtown Manhattan but 95+% of the time LTE towers run far below capacity. This is especially true in rural areas, where DT intends to sell DSL + LTE in volume.

No work yet on who stays and who loses their jobs. Some of the world's best broadband engineers will probably be looking for jobs including the old Globespan New Jersey team. Alcatel engineers are already sending out resumes, fearful of what the Nokia takeover will mean. Expanding firms like HiSilicon and Triductor will probably hire some but the Chinese companies have to ensure a culture fit. 

Qualcomm is extremely aggressive seeking royalties. They demand so much the Chinese government collected a $billion in an antitrust settlement. The EU and Korea are seeking similar. Except for TI, no one in DSL has demanded game changing royalties but Qualcomm's plans are not announced. 

The price was announced as about $50M plus assumption of liabilities. The debt on the balance sheet is modest but I don't know if the terms of the Alcatel and Tallwood financing in practice are a further liability.

Qualcomm Atheros Augments its Networking Portfolio with End-to-End Fixed Access Broadband Capabilities—

SAN DIEGO, Calif. — August 6, 2015 — Qualcomm Incorporated (NASDAQ: QCOM) today announced that its subsidiary, Qualcomm Atheros, Inc., has entered into a definitive merger agreement to acquire Ikanos Communications, Inc. (NASDAQ: IKAN), a high performance broadband networking semiconductor and software provider enabling both central office and home gateway solutions. Pursuant to the agreement, Qualcomm Atheros, through a wholly-owned subsidiary, will commence a tender offer to acquire all of the issued and outstanding shares of common stock of Ikanos for $2.75 per share in cash, and assume all outstanding indebtedness at the closing of the transaction.

The acquisition is intended to expand Qualcomm Atheros’ footprint in the carrier fixed line segment with the addition of high performance broadband access and modem technologies critical to enhancing users’ connected experiences in the home. The home gateway extends Qualcomm Atheros’ leadership in carrier Wi-Fi and wired connectivity, while providing a central hub for Internet of Everything (IoE) enabled devices, services and 3G/LTE small cells.

Ikanos’ board of directors has unanimously approved the transaction and recommends the offer to Ikanos stockholders. The transaction is expected to close before the end of this year and is subject to customary closing conditions, including a minimum tender of a majority of outstanding shares of Ikanos and regulatory clearances in certain non-US jurisdictions.

The acquisition of Ikanos provides Qualcomm Atheros access to a wide array of leading technologies, including A/VDSL2 and G.fast modem technology and chipsets for consumer premises equipment (CPE) and central office (CO) infrastructure. Ikanos also offers multi-mode gateway processor and accelerator technology for fiber, LTE, Ethernet and hybrid-copper applications. In addition, Ikanos inSIGHT software allows remote diagnosis, management and optimization of the broadband connection and quality-of-service, and voice over IP (VoIP) integrated access devices and bridges. Ikanos’ strong central office product portfolio, as well as its technology collaboration with Alcatel-Lucent in the area of fixed access communications, enables Qualcomm Atheros to offer a strong product portfolio in the ultra-broadband access space, including G.fast.
